Measures regarding the activity of the National Trade Registry Office following the evolution of the COVID-19 pandemic

On May 14, 2020, the Emergency Ordinance no. 70/2020 (“GEO no. 70/2020”) regarding the regulation of some measures, starting with May 15, 2020, in the context of the epidemiological situation determined by the spread of the SARS-CoV-2 coronavirus, for the extension of some terms, for the amendment and completion of Law no. 227/2015 on the Fiscal Code, of the National Education Law no. 1/2011, as well as other normative acts was published in the Official Gazette of Romania Part. I, no. 394. GEO no. 70/2020 provides, among others, measures regarding the activity of the National Trade Registry Office following the evolution of the COVID-19 pandemic.

The “offline” activity of the Trade Registry is resumed

For a period of 6 months from the date of termination of the state of emergency, the activity of the Trade Registry Office shall be carried out primarily by electronic means and by correspondence.

The activity with the public at the counters takes place during a 4-hour work program, divided into two time intervals. The public access will be made in an organized manner, within the number of counters assigned to work with the public, with the presence of a single person at the counter.

Declarations on own responsibility (affidavits) and signature samples are also valid under private signature

For a period of 6 months from the date of termination of the state of emergency, the declarations on own responsibility (affidavits) which are annexed to the registration request or to other requests may be executed under private signature or electronic form and may be sent to the Trade Registry Office without any other formality, by electronic means, with electronic signature or by postal or courier services. Affidavits may also be in authentic form, certified by a lawyer, or given at the Trade Registry Office.

For a period of 6 months from the date of termination of the state of emergency, the signature sample, where provided by law, shall be sent to the Trade Registry Office legalized by a notary public or certified by a lawyer or in the form of a private signature, without any other formality, or given at the Trade Registry Office.

The deadline for submitting the beneficial owner declaration is extended

The deadline for submitting the declaration regarding the beneficial owner provided by art. 56 para. (4) and art. 62 para. (1) of Law no. 129/2019 for preventing and combating money laundering and terrorist financing is extended until November 1, 2020.

The declaration regarding the beneficial owner may be executed under private signature or electronic form and may be sent to the Trade Registry Office without any other formality, by electronic means, with electronic signature or by postal or courier services. The declaration regarding the beneficial owner may also be in authentic form, certified by a lawyer or given at the Trade Registry Office.
